Dell Technologies: Shareholders Overwhelmingly Approve Move from Delaware to Texas

In a landmark corporate governance vote, Dell Technologies shareholders have overwhelmingly approved the company’s plan to reincorporate from Delaware to Texas. A staggering 97% approval rate was recorded at the company’s annual meeting held on June 25, 2026.

Founder and CEO Michael Dell took to social media platform X (formerly Twitter) to express his delight: “Today, with 97% approval, Dell shareholders voted to bring our legal home to Texas.” The reincorporation aligns Dell’s legal domicile with its operational roots — Michael Dell founded the company in Austin in 1984. The company’s global headquarters, top executives, and largest U.S. workforce concentration are all already based in Texas. Dell commands a market capitalization of approximately $137.6 billion, with shares up 126% over the past year.

Dell has become the second Fortune 500 company this year to redomicile in the Lone Star State, following ExxonMobil whose Texas switch takes effect on July 1. By shifting its legal home, Dell will move future shareholder disputes away from Delaware’s Court of Chancery to Texas courts, which are widely regarded as more business-friendly. Tesla CEO Elon Musk, who moved Tesla from Delaware to Texas following a controversial pay ruling, applauded the decision with a single word on X: “Texas.”
