IonQ Acquires Cybersecurity Company Elisity in a $1.3B All-Stock Transaction
Quantum computing firm IonQ (NYSE: IONQ) has unveiled a significant acquisition of cybersecurity company Elisity. The all-stock deal is valued at a maximum of $1.3 billion, which includes up to $150 million in performance-based earnouts linked to Elisity’s future performance. The transaction is slated to finalize in the fourth quarter of 2026, subject to regulatory approval.
Established in 2019, Elisity specializes in zero-trust security software. The software is designed to prevent attackers and ransomware from infiltrating organizational networks. The company boasts a robust customer base in the healthcare sector, including hospitals. IonQ’s acquisition of Elisity will enhance its ability to identify and defend against AI-driven cyberattacks and emerging threats in the quantum era targeting enterprise networks.
Niccolo de Masi, IonQ’s Chairman and CEO, stated that the acquisition underscores the growing cybersecurity risks brought about by the advancement of AI and quantum computing technologies. He said, “This means that we can protect not only critical infrastructure — we believe better than anyone in the world — but of course the Fortune 500.” Post-acquisition, Elisity’s CEO James Winebrenner will retain his position. Following the announcement, IonQ’s shares dipped by nearly 10% as investors evaluated the cost of the deal.
