McCormick’s $45B Game-Changer: Acquisition of Unilever’s Food Business

On March 31, 2026, spice industry leader McCormick made a groundbreaking announcement. The company is set to acquire Unilever’s global food business in a transformative deal valued at a staggering $45 billion. This move will create a flavor-focused powerhouse with an impressive $20 billion in annual sales.

The acquisition will bring iconic brands such as Hellmann’s mayonnaise, Knorr bouillon, and Marmite under McCormick’s portfolio. These brands will join McCormick’s existing lineup of popular products, including McCormick spices, French’s mustard, and Frank’s RedHot sauce.

As part of the deal, McCormick will pay Unilever $15.7 billion in cash. Meanwhile, Unilever shareholders will receive a 55% equity ownership in the newly combined company. Unilever will retain a 9.9% stake in the new entity, allowing the company to refocus on its faster-growing personal care and beauty segments. This follows its earlier divestiture of its ice cream business.

McCormick CEO Brendan Foley highlighted that the merger will significantly enhance the company’s global reach. This is particularly true for high-growth markets across Latin America and Asia, where Unilever already has strong distribution networks. The companies project that they will generate $600 million in annual cost savings within three years of closing.

The deal is expected to close by mid-2027, pending shareholder and regulatory approvals. However, the initial market reaction was cautious. McCormick shares fell by 6% and Unilever by 4% on the announcement day. Investors are weighing the complexity of integrating two major food operations.
